CCI Greenlights Zurich Insurance’s Acquisition of 70% Stake in Kotak Mahindra General Insurance

New Delhi: The Competition Commission of India (CCI) has granted approval for the acquisition of a 70% stake in Kotak Mahindra General Insurance Company Limited by Zurich Insurance Company Ltd. The proposed deal involves Zurich Insurance Company Ltd. acquiring a majority stake in Kotak Mahindra General Insurance Company Limited from Kotak Mahindra Bank Limited.

As part of the proposed combination, Zurich Insurance Company Ltd. is set to acquire a 51% stake in the target company through a combination of fresh growth capital and share purchase. Additionally, over a period of time, the acquirer will secure an additional stake of up to 19% in the target.

Zurich Insurance Company Ltd., the acquirer, is a wholly-owned subsidiary of Zurich Insurance Group Ltd., a leading multi-line insurer with a global footprint, serving individuals and businesses across more than 200 countries and territories. Headquartered in Zurich, Switzerland, the Zurich Insurance Group boasts around 60,000 employees.

Functioning as the principal operating insurance company of the Zurich Insurance Group, the acquirer also acts as the holding company for various subsidiaries and affiliates, excluding the Zurich Insurance Group’s property loans and banking activities.

Kotak Mahindra General Insurance Company Limited, the target company, is actively involved in providing a diverse range of general insurance policies, covering areas such as motor vehicle insurance, home and property insurance, commercial, and health insurance. Their offerings include liability insurance, extended warranty insurance, and a variety of health insurance plans, catering to individual and group needs.
